License Server Terms

Version 2026-03, compliant with Qt Frame Agreement Appendix for Qt Developer Framework 2026-01 or Appendix for Squish, Coco 2026-02 or later.

1. SCOPE AND APPLICATION

1.1. This Appendix for License Server Terms ("Appendix") is an integral part of the Agreement and specifies the terms and conditions applicable to the Qt License Server and Qt License Service (as defined below). This Appendix applies to the use of Licensed Software requiring license validation (e.g., Licensed Software).

1.2. In the event of a conflict between this Appendix and the applicable product-specific Service Terms, this Appendix shall prevail with respect to the Qt License Server and Qt License Service.

2. DEFINITIONS

2.1. "Connected On-Premises License Server" means an optional instance of the Qt License Server operated, managed, and maintained by Customer according to the Documentation, which maintains connectivity to the Qt License Service. Ability to use Connected On-Premises License Server may vary depending on Licensed Software and purchased license editions.

2.2. "Offline On-Premises License Server" means an optional instance of the Qt License Server operated by Customer without persistent connectivity to the Qt License Service available only where expressly agreed in a contractual amendment between the Parties. Ability to use Offline On-Premises License Server may vary depending on Licensed Software and purchased license editions.

2.3. "Qt License Server" means the licensing back-end software system used to validate Customer's rights to use Licensed Software. The Qt License Server is available in three deployment configurations: Qt License Service, Connected On-Premises License Server, and Offline On Premises License Server.

2.4. "Qt License Service" means the back-end services provided to Customer using Licensed Software, including the instance of the Qt License Server operated, managed, and maintained by The Qt Company, as well as software and functionality of The Qt Company utilized to verify Customer’s use of the Licensed Software.

3. OWNERSHIP: The Qt License Server constitutes Licensed Software. All Intellectual Property Rights in and to the Qt License Server, including the methodologies and interaction with the underlying software, and infrastructure, are and shall remain the exclusive property of The Qt Company or its licensors.

4. LICENSES GRANTED

4.1. Qt License Service

4.1.1. Use of the Qt License Service for validating licensed software use is included with all Licensed Software subscriptions governed by the applicable Service Terms. No additional license or fee is required to utilize the Qt License Service.

4.1.2. The Qt Company grants Customer a limited, non-exclusive, non-transferable right to access and use the Qt License Service by Designated Users for the duration of the applicable License Term, subject to the terms of the Agreement and this Appendix.

4.1.3. The Qt Company is responsible for the maintenance, availability, and updates of the Qt License Service.

4.2. Connected On-Premises License Server and Offline On-Premises License Server

4.2.1. The Qt Company grants Customer, for the duration of the agreed License Term, a limited, non-exclusive, non-transferable license to install, operate, and use provided instances of the Qt License Server on Customer's premises, subject to the terms of the Agreement and this Appendix.

4.2.2. Customer may install and configure the Qt License Server in accordance with the Documentation.

4.2.3. Offline On-Premises License Server deployment is available only upon separate written agreement between the parties and at the discretion of The Qt Company.

5. LICENSE VALIDATION

5.1. The Qt License Server authenticates and makes available licenses for Licensed Software installation and use in accordance with the purchased license editions.

5.2. Customer's use of the Qt License Service or Qt License Server requires that Customer utilize the technical mechanisms (e.g., user downloads, client-side components) provided by The Qt Company. Such mechanisms are further detailed in the Documentation.

5.3. Customer must implement and install Qt-provided client-side features and required functionality for the Qt License Server during the License Term. Such features and required functionality are further detailed in the Documentation.

6. CUSTOMER OBLIGATIONS

6.1. Authorized Use. Customer may only use the Qt License Server and Qt License Service in connection with its use of Licensed Software and within the scope of purchased licenses.

6.2. Network Access. Customer must maintain adequate internet connectivity for license validation requests. Temporary connectivity loss may impact Licensed Software functionality. More information on connectivity requirements is provided in the Documentation.

6.3. Customer Responsibility. Customer is responsible for its access to Licensed Software, including responsibility for access, use, and activities associated with Customer’s use of Licensed Software. Customer shall implement reasonable security measures to protect license credentials and prevent unauthorized access to Licensed Software. This includes, but is not limited to, ensuring user passwords and logins are not shared and restricting circumvention of license limitations. Customer is responsible for its Licensed Software users with relation to the Qt License Server and Qt License Service.

 6.4. Additional deployment requirements: Connected On-Premises License Server and Offline On-Premises License Server

6.4.1. Customer must provide a suitable technical environment for the Qt License Server to be deployed and operated on Customer premises.

6.4.2. The Qt Company may provide Upgrades, Updates, Maintenance releases and, patches for the Qt License Server. Customer is responsible for applying and installing such updates and patches in a timely manner.

6.4.3. Customer is responsible for: (i) all maintenance of the environment in which the Qt License Server operates; (ii) the security of the environment where the Qt License Server is operated, as well as all costs related to operation and maintenance thereof; and (iii) connectivity between the Qt License Server, Licensed Software, and the Qt License Service.

6.4.4. Customer acknowledges that Customer is responsible for the availability of the Qt License Server. In the event of Customer's failure to timely maintain the Qt License Server or install provided updates and patches, The Qt Company has no obligation to support the Qt License Server and, to the maximum extent permitted by law, The Qt Company disclaims any and all warranties or liabilities arising in connection with Customer's failure to maintain the Qt License Server or timely install updates and patches.

6.4.5. Unless otherwise agreed, Customer agrees that it will enable and maintain connectivity between On-Premise License Server and the Qt License Service for the purposes of: (i) facilitating automated updates for license credentials, (ii) access and/or receive usage metrics information (e.g., for license compliance and billing); and (iii) to provide Support and limited maintenance (as applicable), including remote access where necessary.

7. QT LICENSE SERVICE TERMS

7.1. Service Access. Where Customer utilizes the Qt License Service, The Qt Company will provide access to the Qt License Service for the purposes of license validation by Designated Users for the duration of the applicable License Term. Access to and use of the Qt License Service is on a limited, non-exclusive, non-transferable basis, subject to compliance with the terms of the Agreement and this Appendix.

7.2. Service Availability. The Qt Company will use commercially reasonable efforts to maintain target Qt License Service availability of 99% uptime during any calendar month ("SLA"). The SLA does not include: scheduled maintenance; Customer's own connectivity issues including internet, hardware, or other connectivity issues; third-party availability; or Force Majeure Events (as defined in the Agreement). Customer agrees that, from time to time, the Qt License Service may be unavailable or inoperable due to: (i) maintenance or repair procedures; (ii) interruption or failure of electrical power, telecommunications, computers, hardware, third-party software or databases, networks, or infrastructure; (iii) hostile network attacks; or (iv) a Force Majeure Event.

7.3. Scheduled Maintenance. The Qt Company may perform scheduled maintenance with 48 hours' advance notice, typically during off-peak hours.

7.4. Technical Changes. The Qt Company reserves the right to change the technical specifications and the underlying production environment of the Qt License Service without prior notice to Customer. The Qt Company will notify Customer in advance if the change has any material effect on Customer's use of the Qt License Service.

7.5. Maintenance and Support. Maintenance for the Qt License Service is included for the License Term. Support is provided in accordance with the Appendix for Support Terms, as available at https://www.qt.io/terms-conditions/support-terms.

8. PRIVACY AND SECURITY

8.1. Privacy and Security. The Appendix for Privacy and Security, as set forth at https://www.qt.io/terms-conditions/privacy-and-security applies to the Services provided under this Appendix.

9. Telemetry. The Qt Company collects and processes license validation data, including installation identifiers, usage metrics, and system information necessary for license enforcement. The Qt Company collects and handles data as a data controller in accordance with its Privacy Policy, as available at https://www.qt.io/terms-conditions/privacy-policy. 9.1. Incident Response. The Qt Company will promptly notify Customer of any security incidents affecting the Qt License Service in accordance with the security issue handling provisions of the Appendix for Support Terms.

10. SERVICE MODIFICATIONS AND TERMINATION

10.1. The License Service and/or License Servers offered may contain pre-release code and/or functionality. Such code and/or functionality is optional to Customer and shall be designated as such (e.g., “Technology Preview”, “Alpha”, “Beta”, “Experimental”, “Sample”, “Example” etc. (“Pre-Release Code”)) and the Pre-Release Code provisions of the Agreement shall apply to such pre-release code and/or functionality.

10.2. Suspension and Termination. Suspension and termination of the Qt License Service or any On-Premises Qt License Server is governed by the Agreement.

10.3. Effect of Termination. Upon termination or expiration of the License Software licenses and/or Agreement, Customer must cease using the Qt License Server and Qt License Server. Licensed Software may cease to function upon termination or expiration.
